Terms and Conditions

Terms and Conditions for participation in the Data Center Insights Council (“DCIC”) (“Terms”). DCIC is hosted by Endeavor Business Intelligence, a division of EndeavorB2B, with an office at 30 Burton Hills Blvd, Suite 185, Nashville, TN 37215, United States (“EndeavorB2B” or “we”).  

To become a member (“panelist”) of the Data Center Insights Council (the “Panel”) you must be meet the eligibility requirements identified herein and agree to abide by the terms and conditions set forth in these Terms . We offer our members the chance to connect with industry colleagues and participate  in paid research projects that focus on the data center industry and the products, services and technologies that drive the data center industry forward.

1. Eligibility; Requirements for Membership  

Membership on the Data Center Insights Council is available to: (i) [industry profile requirements]; (ii) [any other profile or experience requirements]; and (iii) other individuals as determined in the sole discretion of EndeavorB2B. 

For the avoidance of doubt, the relevance of a member's company or professional experience to the Panel's focus and membership base may be considered, and we reserve the right to deny or terminate membership to an individual if the individual’s professional experience or company industry, size, or stage of growth does not closely align with the community’s current membership profile. 

For clarity, the DCIC panelist is the individual, not any entity. Each member must agree, at all times, to abide by these Terms, including without limitation the Code of Conduct set forth below. Membership is a privilege, which is subject to annual renewal, revocation, or termination for a member’s failure to conduct himself/herself/themself in a manner consistent with these Terms and Code of Conduct, or otherwise as determined by us in our sole discretion.  

1A. Membership Qualification 

By joining and maintaining a membership with DCIC, I agree that I am qualified for membership. More specifically I confirm that: 

  1. I meet the applicable ‘Requirements for Membership’ listed above (a “Qualifying Role”). 
  2. My participation with DCIC is NOT focused on selling my products or services. 
  3. I acknowledge and agree that DCIC has limited membership capacity and must reserve capacity for active members, so my active participation is required in order to maintain my membership. If I do not actively participate in the DCIC panels and community exchanges (as determined by us in our sole discretion), I may receive an inactivity notice from us. If I continue to be inactive without providing a valid reason (as determined by us in our sole discretion) within thirty (30) days after receiving such notice, my membership may be terminated without refund. 
  4. I have read and agree to DCIC’s Terms and Conditions and acknowledge EndeavorB2B’s Privacy Notice, including the supplemental Privacy Notice applicable to DCIC. 
  5. I agree to inform DCIC if I no longer have a Qualifying Role for the applicable community, including the date that this change occurred. Members who are in-transition and are looking for another Qualifying Role for the applicable community may temporarily continue as members provided they do not represent themselves to the public as having a non-qualifying role during such time. Members who accept a non-qualifying role may be transitioned to another applicable community, if available, or removed from membership (in our sole discretion) without refund. 
  6. I understand DCIC is a membership, research panel and continuing education community exclusively for Data Center and Digital Infrastructure Industry Professionals with Qualifying Roles. I will promptly notify DCIC of any change in my contact information or employment status which occurs after the date I accept Membership and these Terms. 
  7. I agree to abide by the terms and rules of these Terms, including without limitation the Code of Conduct, as each may be updated or amended from time-to-time. 
  8. I understand that any violation of these Terms or Code of Conduct is grounds for termination of my membership without refund. 
  9. In connection with any DCIC program in which I serve, or have served, as a panelist, speaker, participant or attendee: (i) I consent to EndeavorB2B recording of its events and any presentation at its programs (including any PowerPoint slides) and to its publication, distribution, exhibition, and display; (ii) I consent to EndeavorB2B’s reproduction, publication, distribution, exhibition, and display of written materials submitted in connection with the program; (iii) EndeavorB2B may exercise or license these rights in all forms and media, whether now known or later developed, throughout the world; (iv) my consent is irrevocable and extends, in perpetuity, to EndeavorB2B and its successors, assignees, and licensees, and includes the right to use my name, photograph, likeness, voice, statements, and professional biography; (v) all of the rights I am granting to EndeavorB2B are non-exclusive, and nothing will prevent me from repeating my presentation and republishing my materials elsewhere; and (vi) I agree that EndeavorB2B, as the program producer, will be the copyright owner of the program recording and any associated written materials compilation.
 

 

2. Membership Code of Conduct 

EndeavorB2B is dedicated to creating an environment where members can participate safely and respectfully, keeping in mind the views and opinions of other panelists. You agree to conduct myself in a professional manner at all times. While participating in the Panel, you understand that any messages, opinions, information, pictures or any other materials posted by panelists are the sole responsibility of the person who posted the material. You agree that you will not post or upload any material that: 

  • Is illegal. This includes content or any messages that promote or discuss illegal activities or encourages others to commit them. 
  • Is abusive, obscene or hateful. This includes language, information or images. Masked swearing (e.g. "f__k") is considered the equivalent of the actual swear word. 
  • Is threatening, harassing, libelous or defamatory either between panelists or directed towards an EndeavorB2B moderator or other EndeavorB2B employee. 
  • Is inciting hate or violence. 
  • Is bigoted, racially, ethnically, sexually or otherwise offensive. 
  • Is an inappropriate political or religious message. 
  • Is aimed at advertising or marketing any goods or services. 
  • Contains viruses, corrupted files, "Trojan Horses" or any other malicious code. 
  • Contains the personal data or details of other people. 
  • Is owned by or under the copyright of someone else. 

It is important to note that EndeavorB2B does not pre-screen any information posted by Members. However, EndeavorB2B reserves the right to remove any content that is posted be this via the polls tool or other interactive features we may make available to Members at any time. 

You agree to make the following additional commitments with respect to your participation as a member of DCIC:  

  • In making any vendor or product recommendations or referrals, I will disclose any actual or potential conflicts of interest. 
  • I will keep all communications on DCIC communication channels private and will not disclose the content of such communications to third parties without the consent of DCIC. 
  • I agree that material deemed to be for the intended recipient only, including contents of panel surveys, shall not be shared with third parties without the consent of DCIC. 
  • If I come into possession of non-public, sensitive or otherwise confidential information about a company or another DCIC member, I will safeguard the information from the public and not intentionally or inadvertently communicate it to any person (including family members and friends) unless the person has a need to know the information for legitimate business reasons. I will not disclose confidential, sensitive or proprietary information obtained as a consequence of my association with DCIC to third parties without express authorization from DCIC. I will be discreet with respect to confidential information. I will respect the privacy of other members and not provide their name to any third party without their permission. 
  • I represent and warrant that (a) all information I provide to EndeavorB2B and/or any Client will be accurate and complete, (b) I have the right to provide such information and have obtained all necessary consents where applicable, (c) the information does not violate the rights of any person or entity, (d) the information does not contain the confidential or proprietary information of any other person or entity, and (e) I have no agreement with or obligation to any third party that would prohibit my participation as a Member. I acknowledge and agree that my submission of any personal information to EndeavorB2B and/or any Client is entirely voluntary and at my own risk.  

Non-Solicitation Policy: You understand and recognize that DCIC Member events, meetings, surveys, communication channels and other programs are for education, research and networking pursuits only. While some survey content may relate to the goods and services of third parties, DCIC members should not conduct direct solicitation of other members. You agree not to (and will not assist any other party to) solicit DCIC members for any third party products, services, programs, groups, communication channels, or events, nor post job or recruiting postings, fundraising appeals, petitions, or other promotional or advocacy materials (except in each case with the prior written approval of EndeavorB2B). You further agree not to use any communication channels provided by DCIC to send communications to any member that is or may be construed as an advertisement or solicitation. Violations of this policy may result in termination of my membership and/or my removal from DCIC communication channels without notice and without refund, as determined by EndeavorB2B in its sole discretion. 

Data Use Policy: I understand and recognize that neither I, nor any other member, guest, or third party may scrape, mine, or otherwise collect data from DCIC platform, communication channels, events, recordings, or related materials for the purpose of training (or otherwise facilitating the use or operation of) large language models (LLMs) or other AI systems, or for competitive, commercial, or marketing purposes. Unauthorized use of DCIC’s data or content is strictly prohibited and may result in legal action, including but not limited to immediate termination of membership without refund. 

Event Policy: These terms govern your attendance at, and/or participation in, any DCIC event (each, an “Event”). 

Invite-Only 

Many DCIC events are invite-only and limited capacity. Members will only receive invitations to events and experiences specifically curated for their designated community. Each DCIC event has its own tailored programming to best serve the needs of applicable members. You may not receive an invitation to every event or type of event. 

Admission 

Registration for an Event only entitles you to admittance. You will be responsible for any other costs associated with attending the event (including without limitation, travel and accommodation). DCIC disclaims all liability in connection with such costs. 

Termination 

DCIC reserves the right, in its sole discretion, to remove you from the Event if DCIC personnel believes that your presence and/or behavior will create or is creating a disruption to the Event or is hindering other attendees from enjoying the Event. 

Social Media 

By attending or participating in the Event, you acknowledge and agree to grant DCIC the irrevocable right at the Event to record, film, photograph or capture your likeness in any media now available and hereafter developed, and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media. 

While we encourage attendees at Events to socialize and take advantage of social media, please be mindful that not all attendees at such Events are comfortable having their images on social media. If you intend to post images from Events, we expect that you will respect the privacy of other attendees by asking permission from all persons visible in images prior to posting. 

Social media posts should not violate any laws or ethical standards. For example, posts should not be used in a false or misleading way, such as by claiming to be someone other than yourself or to create an artificial “buzz” around any particular organization or business. All posts should make clear that you are speaking and posting on your own behalf. 

 

3. How Does a Panel Work? 

Based on member preferences for opting in (in the My Profile section) to receive survey invites, all panelists will receive survey invitations by e-mail, SMS or other electronic communication from EndeavorB2B with links leading to surveys. There is no obligation for you to answer surveys. Each survey is only to be answered once. If you decide you are not interested in taking part in a specific survey, you can always click the link indicating you do not wish to participate in that particular survey at the bottom of the invitation e-mail. This means that you will not receive reminders for that specific survey, but you will still receive other survey invitations. Please do not mark e-mails from DCIC as spam, as explained in the previous section. EndeavorB2B is not bound to send surveys to all panelists for each new survey; nor can EndeavorB2B guarantee a minimum or a maximum number of surveys per year. 

You acknowledge and agree that as a condition of your participation in a research survey, the applicable Client may require you to agree, among other things, that any and all information expressed or communicated by You in connection with your participation in research studies offered through DCIC may be freely used and disclosed by the applicable Client without restriction or compensation to you (other than the incentive, if any, offered in connection with the applicable survey) and to assign to the applicable Client all intellectual property rights in and to such submitted information. By opting to apply for qualitative engagements through the Service, you acknowledge and agree that EndeavorB2B may share your public LinkedIn profile information and email with other Members and Clients. This sharing enables Clients to review and assess your candidacy for participation in certain research studies. Your application to a qualitative engagement serves as your explicit consent to such sharing, facilitating a determination of your fit for the surveys or studies and extending an invitation for participation accordingly.  

EndeavorB2B has taken high data safety measures. Still, communications sent over the internet may not be secure and in the event any viruses appear in the e-mails sent to you, EndeavorB2B is not liable for the consequences that such cases may entail and thus no compensation may be claimed from EndeavorB2B for such reasons. 

When the necessary number of panelists has answered a survey, or you do not fit the profile, EndeavorB2B or its clients have the right to end the survey at any stage and not collect further answers. 

 

4. Rewarding You for Answering Online Surveys 

Each time you complete a survey before the deadline, you will receive points or another reward upon completion or will be entered in a prize draw. The type and size of the reward or of the prize draw may vary per the survey difficulty, length or other similar elements. Reward points may be redeemed for cash gift cards of varying amounts or denominations.

If you request to be unsubscribed from the Panel, you have forty-five (45) calendar days to redeem your bonus points and exchange them for vouchers or gifts. At the end of this period the points account will be automatically deleted. 

There may be instances when the points were recently completed surveys do not immediately appear in your account (due to collision issues of project specificity). In such cases the points will be added later to your account. 

Accumulated and unredeemed points will expire on the one year anniversary of the point award date.  

 

5. Use of Your Personal Data 

The information you give us will be treated in the strictest confidence and in accordance with all applicable laws, regulations and rules including those relating to privacy and personal data and our privacy notice. This privacy notice is an integral part of these Terms and Conditions and can be found here. 

As part of this undertaking, we promise that: 

  • Other than in relation to this Panel, we will not try to sell you anything or pass your personal data to any third parties for marketing or sales purposes. 
  • Your individual responses to surveys will remain confidential, and will only be used grouped with other confidential responses, unless you explicitly consent to your responses to a specific survey, together with your personal data being passed to a client 
  • Refusal to answer a particular question will have no consequences with regard to your membership. 
  • You can ask to be removed from the Panel at any time. 
  • You are entitled to request correction or deletion of your personal data and the information you provide about your household at any time. 
  • You have the right to request a copy of your personal data that we hold at any time. 

We have explained how your personal data will be used by us in more detail in our Privacy Notice. Please refer to the Privacy Notice for more details. Note that we use cookies and other digital identification devices to: 

  • Ensure that the survey is delivered in a form suited to your device. 
  • Assist in providing support to you should you have difficulty accessing or completing a survey. 
  • Anonymized information is also used for research purposes. For example, to determine the percentage of panelists that use a certain type of browser in a specific country. 

 

6. Confidentiality 

With respect to the statistical analyses that we deliver to survey clients, EndeavorB2B needs certain demographic and personal data about you. Should such information represent Personal Data which could lead to the identification of the person(s) concerned, we will ensure obtaining your / the data subject’s prior consent, as the case may be. Providing us with this personal data is a condition for participation in the Panel as it would otherwise not be possible for us to determine whether your participation in any survey would meet such survey’s criteria.  

During the registration process and during your participation in our research surveys, you agree to provide only true, accurate and complete information and agree to update the Panel account related information that you supplied to ensure it remains up to date and accurate. 

You may come in contact with, be allowed to see or use or otherwise have access to certain non-public, confidential, proprietary, or trade secret information or material that are the sole and exclusive property of EndeavorB2B, other Members and their organizations, or our relevant client, including, without limitation, information with respect to business operations and products or services (collectively, "Confidential Information"). You must not copy, print, store, forward or disclose to anyone by any means, including any generative AI tools, the Confidential Information you will have access to as a Member, and must not use the Confidential Information for any purpose other than the limited purpose for which it was disclosed to you. 

 

7. Intellectual Property 

EndeavorB2B shall own and retain exclusive ownership of its trademarks, logos, copyrights, any content of its website and other intellectual property rights, including, but not limited to, “Data Center Insights Council”, “DCIC”, “Data Center Frontier”, “Endeavor Business Intelligence”, “Endeavor Business Media” or “EndeavorB2B” ("Our IP"). You may not use or reproduce, or allow anyone else to use or reproduce, any of Our IP or that of any sponsors or speakers, without our prior written consent. Nothing in these Terms and Conditions shall be construed as granting you any license, right, title or interest in any Our IP, or any patent, trademark, copyright, know-how, or similar right now or hereafter owned or controlled by EndeavorB2B. 

 

8. Disclaimer of Warranties; Limitation of Liability 

EndeavorB2B disclaims all warranties in respect of any aspect of the Membership, any surveys, the Event, or any materials related thereto or offered during a survey or at an Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness and merchantability. EndeavorB2B does not accept any responsibility or liability for your or any other person’s reliance on any aspect of the Membership, content, surveys, or Event and/or any information provided in connection with any of the foregoing. 

To the fullest extent allowed by law, You agree to waive, discharge claims, and release from liability EndeavorB2B, its affiliates, subsidiaries, officers, directors, employees, and agents from any and all claims, losses or other liability on account of, or in any way resulting from, any act or omission, including without limitation willful misconduct, negligence, and harassment, of or by any non-EndeavorB2B personnel, which may include, for example, other attendees, Event sponsors, guests, speakers, and/or service providers or arising directly or indirectly out of any injury, death, property damage or other damage sustained or allegedly sustained by you resulting from the distribution, sale, consumption or use of or contact with a product in connection with any product test and evaluation research. This does not apply to any Losses which may be caused by EndeavorB2B’s client’s or EndeavorB2B’s gross negligence or any liability by the them under applicable product liability or consumer protection legislation. 

You further agree to hold harmless EndeavorB2B, its officers, directors, employees, and agents from any claims, damages, injuries or losses caused by my own acts or omissions, including without limitation negligence and willful misconduct, while participating as a Member, including attending an Event. I understand and intend that this assumption of risk and release is binding upon my heirs, executors, administrators and assigns. I expressly waive all rights conferred by Section 1542 of the California Civil Code, or any substantially similar law which states in substance: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” 

Other than to the extent required by law (i) EndeavorB2B shall not be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Membership or any Event or other aspect related thereto or in connection with these Terms and (ii) EndeavorB2B’s maximum aggregate liability for any and all claims in connection with the Membership and Events, whether in contract, tort or otherwise (including without limitation any negligent act or omission), shall be limited to the greater of amounts paid by you to EndeavorB2B in the twelve (12) months prior to such claims or $25,000. 

Any unlawful or disparaging action caused by you during your Membership within the Panel or at any Event and to your participation within research surveys conducted by EndeavorB2B that may be considered a violation of criminal and/or civil law shall entitle EndeavorB2B to seek all remedies in this regard to the full extent permitted by law and in equity.  

 

9. Communication Policy 

From time to time, we may contact you by e-mail or phone for account administration purposes, as well as e-mail newsletters or special announcements containing key information related to your Panel membership activity and key Panel updates (“Membership Updates”). 

We may also send you email communication or, if expressly consented, by SMS text message about (i) Panel activities, rewards that you may be eligible for through your participation in our surveys, (ii) new Panel engagement campaigns that we have regarding (new) Panel rewards and/or redemption (collectively named “Engagement Updates”). Receiving any of these Engagement Updates is optional and you can separately opt-out from Engagement Updates at any time by using the unsubscribe link provided in those emails or text messages, as applicable. 

As you have voluntarily registered in the Panel, and confirmed your e-mail address, phone number and postal address upon registration, you should not mark emails or other communication received from DCIC as spam or unsolicited communication, and you might be responsible for any resulting damage to EndeavorB2B. 

Due to your mail-box security settings, the survey invitations you receive from us might be directed to your bulk / junk mail or similar folder. To avoid this, please add jess@dcinsightscouncil.com address to your address book. 

 

10. Withdrawal from the Panel 

You may ask to leave the Panel at any time and stop receiving e-mails or phone messages from DCIC and EndeavorB2B by sending notice to by email to jess@dcinsightscouncil.com. Your account will become inactive in the Panel database. 

 

11. Termination of Membership 

You may terminate your membership with DCIC at any time upon ten (10) days prior written notice sent via email to jess@dcinsightscouncil.com. Your membership account will become inactive. You may request deletion of your personal information by following the instructions provided in EndeavorB2B’s Privacy Notice.  

EndeavorB2B also reserves the right to terminate membership for any conduct not within our quality parameters or business objectives, or any other violation or breach of these terms and conditions, the privacy notice or survey rules, in each case in its sole discretion. In the event of termination, the Member will be given forty-five (45) calendar days to redeem all reward points that have been accrued. Any use of the panelist account by an individual other than the panelist is considered an unauthorized use and may be grounds for immediate termination and forfeiture of points. 

EndeavorB2B reserves the right to delete inactive panelists from the Panel. This means terminating a panelist’s membership and erasing the respective points account completely, if the panelist does not respond to any survey for more than three (3) months. EndeavorB2B will inform You of such termination and you will have forty-five (45) calendar days to redeem any remaining points. Please remember that if, for any reason, you are not able to answer to surveys for a longer period, you can inform us by e-mail at jess@dcinsightscouncil.com, or by updating your survey invite preferences from Email & Browser Notifications under Settings, to avoid be deleted from the Panel. 

 

12. Governance 

EndeavorB2B, in its sole discretion, reserves the right, at any time, to change any and all aspects of the membership, including name, themes, content, program, surveys, speakers, hosts, moderators, venue, and these Terms. We will inform you of any updates via the news section of the Panel members' website.  

These Terms and Conditions are governed by Tennessee state laws and the non-exclusive jurisdiction of the courts located in Nashville, Davidson County, Tennessee.
